Terms of Service
Effective and last updated: October 21, 2026
These Terms of Service govern your use of Forms Review, its account-linking and online directory services, and this website, provided by Midnight Works LLC ("we", "us"). Please read them before using the services. If you use Forms Review for an organization, you must have authority to act for it. If you do not agree, do not use the services.
Software use and separate agreements
Subject to these terms and any applicable purchase or license agreement, you may install and use the version of Forms Review made available to you for lawful document work, and make reasonable backup copies. We and our licensors retain rights in the software, branding and underlying technology. Third-party components remain subject to their own licenses and notices.
A separate signed agreement or applicable purchase/license terms control where they conflict with these general terms. These terms do not impose a new subscription, device limit or payment obligation. An activated perpetual entitlement is verified locally. Disconnecting a Google/Microsoft account, losing access to an online service, or suspension of a hosted service does not remotely invalidate that entitlement or transfer ownership of your local files. Update eligibility and new purchases may be governed by their own terms.
Alpha availability and your responsibilities
The current alpha is evaluation software. Features may be incomplete, unavailable or change, and the app may crash, freeze or lose unsaved changes. Keep independent backups and verify saved/exported files before relying on them. Do not make the alpha your only copy of important work.
You are responsible for your device, account security, API keys, invitations, storage access, backups, and ensuring you have rights to use and share the material you provide. Provide accurate identity information and promptly tell us about suspected misuse of your hosted account. Do not share credentials or use another person's identity without authorization.
Your documents and permissions
You retain your rights in your documents, markups and other content. We claim no ownership of them. You grant only the permissions needed to process the content you deliberately send to a service, display directory information to intended participants, and address support or security requests. These permissions do not authorize us to sell your content or use it for advertising.
Do not submit or share material if doing so violates confidentiality, copyright, privacy, export restrictions or another legal obligation. Obtain any required permission before inviting people, publishing their email addresses to a session listing, or sending content to an AI or external storage provider.
Account linking and Review Sessions
Optional Google/Microsoft linking establishes an identity for collaboration and discovery. It is not a software license, proof of professional qualifications, or permission to access a document. The online directory is an advisory listing; it does not authenticate a session organizer's signed authority. Signed invitations, membership and access to the selected session storage remain necessary.
Organizers are responsible for the people they invite, folder permissions, listing accuracy and keeping published participant information current. Participants may retain copies they receive. Removing a participant, closing a session or deleting a listing cannot recall downloaded/exported copies or erase separately held files. Session synchronization and availability depend on the chosen devices, network and storage providers.
Professional review, signatures and AI
Measurements, comparisons, markups, AI outputs and document-processing results require your review. Verify scale, page dimensions, content, signatures, recipients and final exports. A visible mark or signature image alone does not establish identity, a legally valid digital signature, a professional seal or regulatory compliance. Forms Review does not supply engineering, architectural, legal or other professional approval; required professional judgment remains with the responsible person.
AI output can be inaccurate or incomplete. Optional AI requests use your configured provider account and may incur provider charges. You are responsible for authorizing what is sent and complying with that provider's terms. Enabling one feature does not establish that a particular workflow is suitable for confidential, regulated or safety-critical use.
Acceptable use
Do not use the services to commit fraud, impersonate others, distribute malware, unlawfully expose personal information, send unsolicited bulk invitations, or access content or systems without authorization. Do not bypass access controls, disrupt hosted infrastructure, or overwhelm service limits. These restrictions do not limit rights granted by law or an applicable open-source license, including permitted interoperability or security research. Report suspected vulnerabilities privately to tbrigman@phosphorgroupusa.com; avoid accessing other people's data or disrupting the service.
Third-party services and privacy
Google, Microsoft, Cloudflare, email delivery, Anthropic and your chosen storage providers operate under their own applicable terms. We do not control their availability or your independent agreements with them. Our handling of personal information is described in our Privacy Policy. Do not send us passwords, authentication tokens or unnecessary sensitive documents when seeking support.
Changes, suspension and stopping use
We may update the app or hosted services, impose reasonable operational limits, or restrict hosted access to address abuse, security risks, legal requirements or material violations of these terms. Where reasonably practicable, we will explain a restriction and provide an opportunity to address it. Urgent security or legal circumstances may require immediate action. Hosted services have no uptime or support-response guarantee unless separately agreed.
You may stop using the services, disconnect linked accounts and request deletion of hosted personal information as described in the Privacy Policy. Keep your own documents and records before doing so. Hosted suspension or closure does not remotely disable an already activated perpetual installation or delete your local files.
Warranties and responsibility
To the extent permitted by applicable law, the alpha and hosted services are provided “as is” and “as available”, without a promise of uninterrupted operation, error-free output, fitness for a particular purpose or complete recovery of lost work. We do not exclude any warranty, consumer right or responsibility that cannot lawfully be excluded.
To the extent permitted by applicable law, we are not responsible for indirect or consequential loss, including lost profits, arising from use of the services. This limitation does not exclude liability for fraud, willful misconduct, death or personal injury where exclusion is prohibited, or other liability that the law does not allow us to limit. Your mandatory statutory rights remain in effect. No mandatory arbitration, class-action waiver or new fixed financial liability cap is created by these terms.
Updates to these terms and contact
We will post revised terms here with an updated date and provide reasonable notice of material changes where practicable. Revised terms apply prospectively and do not remove rights already granted by a perpetual license or override a separate signed agreement. Where the law requires affirmative agreement, we will obtain it. Applicable mandatory law continues to govern; these terms do not select a new court or jurisdiction.
